1. Acceptance of these terms
These Terms of Use form a binding agreement between you (the customer) and Kedeyo. By signing up, paying an invoice, or otherwise using the platform, you accept these terms in full. If you don't accept them, don't use the service.
2. The service
Kedeyo provides a cloud contact-center platform — voice, WhatsApp, SMS, email, IVR, dialer, recording, dashboards and APIs. Specific features available to you depend on your subscription plan and any add-ons you purchase. We may release new features, deprecate old ones, and change underlying infrastructure on reasonable notice.
3. Your account
- You are responsible for keeping login credentials secure.
- Each agent seat is licensed to a single named person — credential sharing is not allowed.
- You must give us accurate billing information and keep it current.
- We may suspend access if invoices are unpaid for more than 14 days.
4. Acceptable use
You agree not to use Kedeyo for: dialing numbers on the TRAI DND register, sending unsolicited promotional messages outside approved hours, impersonating another person or entity, running pyramid / Ponzi / lottery campaigns, scraping or reverse-engineering the platform, or anything that violates Indian law or carrier policy. Violations can lead to suspension and reporting to regulators where required.
5. Customer data
All customer data — call recordings, contacts, transcripts, CRM data — remains your property. Kedeyo acts as a data processor and processes your data on your instructions to provide the service. Our Privacy Policy explains in detail.
6. Pricing & billing
- Subscription fees are charged per agent per month in INR, with applicable GST.
- Usage-based charges (call minutes, WhatsApp templates, SMS) are billed monthly in arrears.
- Plans renew automatically unless cancelled at least 30 days before renewal.
- Refunds, where applicable, are pro-rated and exclude one-time setup fees.
7. Compliance & regulator obligations
Kedeyo enforces TRAI NCCP scrubbing, DPDP 2023 consent capture, RBI / SEBI / IRDAI recording windows where applicable, and India-region data residency. You're responsible for using the platform in a manner consistent with the regulations applicable to your industry.
8. Service-level agreement
Kedeyo targets 99.95% monthly uptime on the platform, excluding scheduled maintenance announced 7 days in advance. Service credits for shortfall are described in your order form.
9. Liability
To the maximum extent permitted by Indian law, Kedeyo's aggregate liability for any claim arising under or in connection with these terms is limited to fees paid in the twelve months preceding the claim. We are not liable for indirect, consequential, exemplary or punitive damages.
10. Termination
Either party may terminate for material breach with 30 days' written notice if the breach isn't cured. On termination, you'll have 30 days to export your data; after that we delete it from production systems within 60 days, subject to regulator-mandated retention.
11. Governing law
These terms are governed by Indian law. Disputes are resolved in the courts of Mumbai. If any clause is found unenforceable, the rest remains in force.
